Hakagile Terms of Use

These Terms govern access to and use of the Hakagile website and web application.

By accessing or using Hakagile, you agree to these Terms. If you do not agree, you must not use the service.

1. Service provider

In these Terms, “Noratek”, “we”, “us” and “our” refer to Noratek SRL.

2. Hakagile

Hakagile is a browser-based project and agile-work management service. Its features may include boards, work items, subtasks, meeting and ceremony records, impediments, decisions, project history, queries and flow metrics.

Hakagile is a supporting tool. It does not provide legal, compliance, accounting, security or other professional advice and does not replace policies, systems or governance requirements imposed by an employer, client or other organisation.

3. Eligibility

You may use Hakagile only if:

• you have the legal capacity to accept these Terms;
• you are at least 18 years old;
• your use is permitted by applicable law;
• where you use Hakagile for an organisation, client or employer, you have authority to do so.

4. Access and accounts

Access may be subject to a request and manual approval. Noratek may accept or refuse an access request at its reasonable discretion, subject to applicable law.

You must:

• provide accurate information;
• keep your email account and any sign-in code we send you secure;
• not share access in a way that permits unauthorised use;
• promptly inform us of suspected unauthorised access;
• remain responsible for activity carried out through your account, except to the extent caused by Noratek’s own breach of duty.

An account is personal unless Noratek expressly agrees otherwise.

5. User Content

“User Content” means any information, text, file, attachment or other material that you create, enter, upload or organise in Hakagile.

You retain all rights that you hold in your User Content. You grant Noratek a limited, non-exclusive right to host, reproduce, process, back up and display User Content only as necessary to provide, secure, maintain and support Hakagile and to comply with the law.

Noratek does not acquire ownership of your User Content.

6. Your responsibility for User Content

You are solely responsible for deciding what you enter into Hakagile and for ensuring that you have the right and lawful basis to do so.

You must not enter or process information where doing so would:

• violate applicable law;
• infringe intellectual-property, privacy or other third-party rights;
• breach an NDA, confidentiality clause, professional secrecy or employment obligation;
• violate a client’s or employer’s information-security, data-governance or acceptable-use policy;
• disclose trade secrets or restricted information without authorisation;
• process personal data without an applicable lawful basis and any required notice.

If User Content relates to a client, employer, colleague, meeting participant or other third party, you remain responsible for obtaining any necessary permission and complying with all applicable obligations.

7. Acceptable use

You must not use Hakagile to:

• violate Belgian law, European Union law or any other applicable law;
• store, organise, facilitate or distribute unlawful, fraudulent, abusive, threatening or malicious content;
• infringe the rights of another person or organisation;
• harass, discriminate against or unlawfully monitor another person;
• introduce malware or harmful code;
• bypass security, access controls or usage restrictions;
• gain or attempt to gain unauthorised access to an account, service, system or data;
• interfere with the security, availability, integrity or proper operation of Hakagile;
• probe, scan or test vulnerabilities without Noratek’s prior written authorisation;
• create an unreasonable technical or security burden.

8. Privacy and data protection

Noratek processes personal data as described in the Hakagile Privacy Policy.

Depending on the circumstances, you or the organisation for which you act may be the controller of personal data included in User Content. You are responsible for complying with your own obligations as controller.

If your use requires a separate data-processing agreement, contact privacy@noratek.srl before using Hakagile for the relevant processing.

9. Access by Noratek

Noratek does not routinely inspect User Content and does not sell it or use it for advertising.

Noratek may access User Content only where reasonably necessary to:

• provide support requested by you;
• maintain, secure, troubleshoot or restore Hakagile;
• investigate suspected fraud, abuse, unlawful activity or a security incident;
• enforce these Terms;
• establish, exercise or defend legal claims;
• comply with applicable law or a binding request from a competent authority.

10. Suspension and restriction

Noratek may restrict, suspend or block an account where it reasonably believes that:

• the account is being used unlawfully;
• these Terms have been materially or repeatedly breached;
• the account or its activity creates a security, integrity or availability risk;
• the activity could harm Hakagile, Noratek, another user or a third party;
• suspension is required by law or by a competent authority;
• immediate action is reasonably necessary to investigate suspicious activity or contain an incident.

Where reasonably possible and legally permitted, Noratek will inform you of the reason and allow you to address the issue.

A temporary restriction may remain in place while an investigation is ongoing. Noratek may permanently terminate access where the issue cannot be resolved, the breach is serious or continued access would create an unacceptable risk.

11. Legal requests and preservation

Noratek may preserve, access or disclose account data and User Content where required by applicable law, a binding court order or a valid request from a competent authority.

Noratek may also preserve relevant information where reasonably necessary to investigate suspected unlawful activity or to establish, exercise or defend legal claims.

Where legally permitted and reasonably practicable, Noratek will seek to limit disclosure to the data covered by the request and may notify the affected user.

12. Service availability and changes

Hakagile is provided on an “as is” and “as available” basis.

Noratek aims to operate the service with reasonable care but does not guarantee:

• uninterrupted or error-free access;
• immediate correction of every defect;
• that the service will meet every specific professional, contractual or regulatory requirement;
• permanent availability of any particular feature.

Noratek may modify, improve, replace or discontinue features. Where a change materially affects the service, Noratek will provide reasonable notice where practicable.

13. Backups, exports and data loss

Hakagile uses technical measures intended to support resilience and recovery, including Firestore delete protection and point-in-time recovery.

These measures do not constitute an individual archival or records-management service and do not guarantee that every deleted, corrupted or overwritten item can be recovered.

You are responsible for:

• retaining copies or exports needed for your business;
• meeting legal, contractual, audit and retention obligations;
• ensuring that Hakagile is appropriate for the sensitivity and importance of the information entered;
• maintaining any separate backup required by your own risk assessment.

To the maximum extent permitted by law, Noratek is not responsible for loss resulting from your failure to keep required copies or from storing content in breach of an NDA, client policy or other obligation.

14. Intellectual property

Hakagile, including its software, design, branding, documentation and original content, is owned by Noratek or its licensors and is protected by applicable intellectual-property laws.

Except as expressly permitted, you may not:

• copy, sell, sublicense or redistribute Hakagile;
• reverse engineer or attempt to obtain its source code, except where such restriction is prohibited by mandatory law;
• remove legal, copyright or proprietary notices;
• use Hakagile’s branding in a way that suggests endorsement or affiliation without permission.

These restrictions do not affect your rights in your own User Content.

15. Feedback

If you provide suggestions, comments or feedback, Noratek may use them to improve the service without payment or obligation, provided this does not give Noratek ownership of your User Content or confidential information.

Do not include confidential client or employer information in feedback unless you are authorised to disclose it.

16. Termination and account deletion

You may stop using Hakagile and delete your account using the functions made available by the service or by contacting us.

Noratek may terminate an account where:

• you materially or repeatedly breach these Terms;
• continued use creates a serious legal, security or operational risk;
• Noratek is required to do so by law;
• Hakagile or the relevant service is discontinued.

Deletion and retention following termination are described in the Privacy Policy.

17. Disclaimers

To the extent permitted by applicable law, Hakagile is provided without warranties beyond those that cannot legally be excluded.

Noratek does not warrant that:

• Hakagile is suitable for storing every category of confidential, regulated or sensitive information;
• use of Hakagile will ensure compliance with an NDA, the GDPR or an organisation’s internal policies;
• metrics, reports or project information will be complete or appropriate for every decision;
• data will never be lost, delayed, corrupted or accessed unlawfully.

You remain responsible for professional judgment, governance decisions and compliance obligations.

18. Limitation of liability

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.

Subject to the above and to the maximum extent permitted by law, Noratek will not be liable for indirect or consequential loss, loss of profit, loss of opportunity, loss of goodwill, business interruption or loss caused by:

• unauthorised or unlawful User Content;
• breach by the user of an NDA, client policy or confidentiality obligation;
• decisions made solely on the basis of information or metrics in Hakagile;
• failure to maintain required backups or exports;
• third-party services, networks or infrastructure outside Noratek’s reasonable control.

Any limitation applies only to the extent that it is valid and enforceable under the law applicable to the user.

19. Professional indemnity

To the extent permitted by applicable law, a user acting in a professional capacity must indemnify Noratek against third-party claims, losses and reasonable costs arising directly from:

• User Content entered without the necessary rights or authorisations;
• the user’s breach of confidentiality, an NDA or professional secrecy;
• unlawful use of Hakagile;
• a material breach of these Terms.

This does not apply to the extent that the claim was caused by Noratek’s own breach, negligence or unlawful conduct.

20. Changes to these Terms

Noratek may update these Terms to reflect changes to Hakagile, its legal obligations or its operating model.

The updated Terms will be published with a revised “Last updated” date. Where a change materially affects existing users, reasonable notice will be provided where required or practicable.

21. Governing law and disputes

These Terms are governed by Belgian law, without prejudice to any mandatory protections that apply under the law of your country of residence.

The courts of the judicial district in which Noratek has its registered office will have jurisdiction, except where mandatory law gives jurisdiction to another court.

Before initiating proceedings, the parties are encouraged to attempt to resolve the dispute in good faith.

22. General provisions

If a provision is held invalid or unenforceable, the remaining provisions remain in effect.

A failure to enforce a provision is not a waiver of that provision.

You may not transfer your account or rights under these Terms without Noratek’s prior written consent. Noratek may transfer these Terms as part of a merger, restructuring or transfer of Hakagile, subject to applicable law.

These Terms, together with the Privacy Policy and any expressly applicable agreement, govern your use of Hakagile.
